Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website at clone.solutions (the "Site"), operated by Clone Solutions LLC ("Clone Solutions," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Description of Services

Clone Solutions is a software consultancy offering website audits, Shopify development, and custom software development. The Site provides information about our services and a way to contact us or schedule a consultation.

Descriptions of services, pricing, and timelines on the Site are for general informational purposes. They do not constitute a binding offer or contract. A formal engagement begins only when both parties agree to a separate written proposal, statement of work, or service agreement.

Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not:

  • Violate any applicable law or regulation.
  • Attempt to gain unauthorized access to the Site, its servers, or related systems.
  • Interfere with or disrupt the Site's operation or other users' access.
  • Scrape, copy, or reproduce Site content for commercial use without our written permission.
  • Transmit malware, spam, or other harmful or abusive content.

All content on the Site — including text, graphics, logos, and design — is owned by Clone Solutions or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

Consultations and Proposals

Initial consultations, contact form submissions, and scheduling through Calendly are intended to help us understand your needs. Any information shared during these interactions is handled according to our Privacy Policy at /privacy.

Proposals, estimates, and verbal discussions are non-binding until documented in a signed agreement. We reserve the right to decline any project at our discretion.

Client Engagements

When you engage Clone Solutions for paid work, the relationship is governed by a separate contract, statement of work, or proposal — not by these Terms alone. That agreement will specify scope, deliverables, payment terms, intellectual property ownership, confidentiality, and other project-specific terms.

We are happy to sign non-disclosure agreements (NDAs) before discussing confidential project details, as noted on our Site.

Disclaimer of Warranties

The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Information on the Site may contain inaccuracies or become outdated; we make no commitment to update it.

Limitation of Liability

To the fullest extent permitted by law, Clone Solutions and its members, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from or related to the Site shall not exceed the amount you paid to Clone Solutions for services in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless Clone Solutions and its members, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any third party's rights.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.

Any dispute arising from these Terms or your use of the Site shall be resolved in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of the Site after changes constitutes acceptance of the updated Terms.
